2009 Annual Meeting and Proxy Materials

For its 2009 annual meeting, ModusLink is using a set of new rules, which were recently adopted by the Securities and Exchange Commission, that allow companies to make proxy materials available on the Internet. Most stockholders were mailed a “Notice of Internet Availability of Proxy Materials” instead of a paper copy of the 2009 proxy materials. The notice includes instructions on how to view the proxy materials on the Internet, how to request a paper copy of the materials and how to vote. This makes the proxy distribution process more cost efficient and reduces its impact on the environment.

The 2009 annual meeting of stockholders of ModusLink will be held on Wednesday, December 9, 2009 at 9:00 a.m., EST, at the Westin Waterfront Hotel, 425 Summer Street, Boston, MA.

After you have reviewed the proxy materials, please take the time to vote your shares via a method listed on your Proxy Card or your Notice of Internet Availability of Proxy Materials.

The website noted below provides instructions on how to vote your shares of ModusLink over the Internet or to receive paper or email copies of the proxy materials. To ensure the security of your vote or request, you will be asked to enter your control number(s). You will find your control number on your Notice of Internet Availability of Proxy Materials or, if you received a printed copy of the materials, on your Proxy Card or Voting Instruction Form received with your Proxy Statement. If you received your proxy materials electronically, your control number is contained in the email you received.
